Terms of Use

These Terms of Use apply to the Audely apps and website. By downloading, accessing, or using Audely, you agree to these terms. If you do not agree, do not use Audely.

App licence

Audely is licensed, not sold. Your use of the app is also governed by Apple’s Standard Licensed Application End User License Agreement. These terms supplement that agreement for Audely’s product-specific features. The Apple agreement controls if these terms conflict with rights or obligations Apple requires.

Your audio and library

You remain responsible for the audio and other content you select. You confirm that you have the rights needed to store, play, edit metadata for, transcribe, and otherwise use that content. Audely reads source audio in place and does not promise to recover a source file that you move, delete, lose, or make unavailable outside the app.

iCloud features

Sync and cloud backups use the private CloudKit database of your signed-in iCloud account. Their availability depends on Apple services, your account status, network access, and available iCloud storage. Source audio is not included. You should keep independent copies of audio and any information you cannot afford to lose.

Transcription models

On-device transcription is optional and requires Audely Pro to download the model or start generation. Apple delivers Audely’s transcription model asset pack through the App Store infrastructure. Generated text can contain errors and should not be treated as an authoritative record or professional advice.

Audely Pro and purchases

When offered, Audely Pro is available as a monthly or yearly auto-renewing subscription through Apple. The price, billing period, trial, and included features shown at purchase control. Apple manages payment, renewal, cancellation, refunds, and account eligibility under its terms.

A subscription renews unless cancelled through Apple before renewal. If Pro access ends, Audely does not delete your library, transcript data, metadata, source audio, or downloaded transcription model. Full transcript reading, transcript-text search, generation, model download, sync, backup use, and premium theme selection become unavailable until access is restored. Short transcript previews, transcript removal, generation cancellation, and local-model removal remain available. A true lapse resets both theme assignments to the Magnolia defaults, and those former choices are not restored if you subscribe again.

Acceptable use

Do not misuse Audely, interfere with its operation, attempt unauthorized access to services or accounts, use it to violate another person’s rights, or use the website in a way that is unlawful or harmful.

Availability and changes

We may improve, change, suspend, or discontinue features. We aim to preserve user data and communicate material changes, but cannot guarantee uninterrupted or error-free operation of the app, Apple services, model hosting, networks, or third-party software.

Warranty and liability

To the maximum extent permitted by law, Audely is provided “as is” and “as available.” Nothing in these terms excludes consumer rights or liability that cannot legally be excluded. Subject to those rights, Audely is not liable for indirect, incidental, special, consequential, or lost-data damages arising from use of the app or services.

Termination

You may stop using Audely at any time. We may restrict access where reasonably necessary to address unlawful use, security risk, or a material breach of these terms. Terms that by their nature should continue after termination remain in effect.
